Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the SimpleDub platform and services (the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not access or use the Services.

These Terms are entered into by and between you and:

(“SimpleDub”, “we”, “us”, or “our”)

SimpleDub provides AI-powered video dubbing, translation, and localization services designed to assist users in adapting digital video content for different languages and markets.

The Services are provided on a subscription basis and are intended for lawful professional and business use only.

To access certain features of the Services, you must create a user account.

You are responsible for:

• maintaining the confidentiality of your login credentials,
• all activities carried out under your account,
• ensuring that the information you provide is accurate and up to date.

You must immediately notify us of any unauthorized use of your account.

You retain all rights to the content you upload, submit, or process through the Services (“User Content”).

By using the Services, you confirm that:

• you own the User Content or
• you have all necessary rights, licenses, and permissions to use it.

By using SimpleDub, you grant us a limited, non-exclusive, worldwide license to process your User Content solely for the purpose of providing the Services.

We do not claim ownership of your content.

The Services use artificial intelligence and automated systems to generate translations, voice dubbing, and related outputs (“AI Output”).

You acknowledge and agree that:

• AI Output may contain errors, inaccuracies, omissions, or unintended meanings,
• AI-generated translations and voice outputs are not guaranteed to be accurate, complete, or suitable for any specific purpose,
• SimpleDub does not provide legal, linguistic, cultural, or professional advice.

You are solely responsible for:

• reviewing and validating all AI Output before use,
• ensuring that the output complies with applicable laws, regulations, and third-party rights.

SimpleDub does not guarantee that AI Output will be error-free or fit for commercial, legal, or regulatory use.

SimpleDub operates as a provider of AI-powered tools, not as a decision-maker or authority over how AI Output is used.

In accordance with the EU Artificial Intelligence Act:

• the Services are intended as assistive tools,
• final responsibility for decisions, publications, and use of AI Output remains fully with the user,
• SimpleDub does not deploy AI systems for prohibited or high-risk uses as defined by applicable law.

Users must not use the Services in ways that would:

• violate applicable laws or regulations,
• infringe intellectual property or personal rights,
• create misleading, deceptive, or unlawful content.

All software, algorithms, workflows, interfaces, trademarks, branding, and platform elements used in the Services are the exclusive property of ScaleVid Labs s.r.o. or its licensors.

You may not copy, modify, reverse engineer, or redistribute any part of the Services without our prior written consent.

Payments for SimpleDub Services are processed by FastSpring, our authorized reseller and Merchant of Record.

FastSpring is responsible for:

• payment processing,
• billing,
• tax calculation and remittance.

Subscriptions are billed in advance on a monthly or annual basis, depending on the selected plan.

You may cancel your subscription at any time through your account dashboard.
Cancellation takes effect at the end of the current billing period.

Except where required by applicable law:

• payments are non-refundable,
• no refunds are provided for partial billing periods.

We reserve the right to change pricing or subscription terms with at least 30 days’ notice.

To the maximum extent permitted by law, SimpleDub shall not be liable for:

• indirect, incidental, special, consequential, or punitive damages,
• loss of profits, revenue, data, reputation, or business opportunities,
• damages resulting from reliance on AI Output.

Our total liability for any claim arising out of or related to the Services shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless ScaleVid Labs s.r.o. from any claims, damages, liabilities, losses, or expenses arising from:

• your use of the Services,
• your User Content,
• your use or publication of AI Output,
• your violation of these Terms or applicable laws.

We may suspend or terminate your access to the Services at any time if you violate these Terms or applicable law.

Upon termination:

• your right to use the Services ends immediately,
• outstanding payment obligations remain unaffected.

We may update these Terms from time to time.

Material changes will be communicated via email or through the platform.
Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Your use of the Services is also governed by our Privacy Policy, which explains how we process personal data in accordance with GDPR and applicable data protection laws.

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Czech Republic.
